These general terms and conditions apply to all offers, agreements and deliveries by Fushia bv, unless expressly agreed otherwise in writing.
Definitions
Client: the natural or legal person with whom the agreement for the supply of products and services by Fushia bv is concluded.
Assignment: the products and services to be supplied by Fushia bv that the parties have agreed upon and specified in writing, such as the design, deployment and sale of websites, domain rental and registration, website promotion, maintenance and all other additional products and services, insofar as agreed in writing.
The agreement
Unless the parties have mutually agreed otherwise in writing, these general terms and conditions apply to every offer, assignment or agreement from or with Fushia bv. By placing an order, entering into an agreement and/or accepting an invoice, the client expressly agrees to these general terms and conditions.
All quotations and price estimates from Fushia bv constitute proposals and invitations for the client to place an order. They may be amended or withdrawn at any time, except during the validity period specified in writing by Fushia bv.
The client's order constitutes an offer to enter into an agreement. An agreement is formed only upon written acceptance or order confirmation by Fushia bv.
The subject matter and terms of the assignment are specified in writing. Products and services not included in the assignment in writing are excluded. Additional work, adjustments and changes are charged at the prevailing rate.

The price
All prices exclude VAT and other government-imposed levies.
Unless otherwise agreed, invoices are payable within 14 days of the invoice date. Payment must be made without deduction, setoff or suspension.
If payment is not made within the agreed period, default interest of 10% per year is due automatically and without formal notice, together with fixed compensation equal to 10% of the invoice amount, with a minimum of € 125.
Client obligations
The client, to the exclusion of Fushia bv, is solely liable for the information the client provides and shall indemnify Fushia bv against any third-party claim.
The client must make delivery of the assignment possible and, upon first request, review designs and report any errors.
The final design of the assignment is considered accepted upon payment of the agreed price and, at the latest, 14 days after delivery.
Obligations of Fushia bv
Fushia bv guarantees that it will carry out its assignment in accordance with professional standards and the agreements and procedures recorded in writing with the client.
Fushia bv provides a warranty period of fourteen (14) days after delivery. During this period, Fushia bv will carry out repairs at no additional cost solely for errors or defects demonstrably resulting from Fushia bv's own work.
Liability
Fushia bv is liable only for direct damage arising from a failure to fulfill its obligations that is attributable to Fushia bv. Fushia bv is never liable for indirect damage, including data loss, lost profits, lost revenue or business interruption.
In all cases, Fushia bv's liability is limited to the amount paid to Fushia bv by the client under the agreement.
Intellectual property
All intellectual property rights to the products and services developed by Fushia bv remain the property of Fushia bv, unless otherwise agreed in writing.
The client acquires only a right to use the agreed products and services, after full payment.
Applicable law and disputes
Belgian law applies to all agreements between Fushia bv and the client. All disputes shall be submitted to the competent courts of the judicial district of Antwerp.
